UCP // Fluent — Terms of Service

These Terms of Service ("Terms") govern your use of the UCP // Fluent application (the "App") provided by Aurina AI LLC, doing business as UCP // Fluent ("we," "us"). By installing or using the App, you ("Merchant," "you") agree to these Terms.

1. The service

UCP // Fluent helps Shopify merchants prepare their catalogs for AI-assisted shopping. The App provides:

• Identity — finding existing GTINs, generating registration-ready GTINs, and GPC category mapping;
• Enrichment — AI-generated structured product attributes;
• Validation — agent-readiness monitoring and an Agent Trust Score;
• Attribution — reporting on orders associated with AI shopping agents.

Features may change as the App and the agentic-commerce ecosystem evolve.

2. Plans, billing, and fees

The App is offered on paid subscription plans, plus optional consumable usage credits that fund Product Authentication and Semantic Enrichment — all billed through Shopify Billing. Plan prices, credit pricing, and limits are shown in the App and on our App Store listing. By selecting a plan or purchasing credits, you authorize the corresponding charge via Shopify. You may change or cancel your subscription through Shopify; cancellation stops future recurring charges and may reduce or disable paid features. Credits are consumable and are non-refundable once used.

3. Merchant responsibilities

You are responsible for:

• the accuracy of your product data;
• using the App in compliance with applicable laws and Shopify's terms;
• completing your own GS1 registration. GTINs generated by the App are valid, registration-ready candidates; official GTIN assignment is performed by GS1, and you are responsible for registering them with GS1 before relying on them commercially.

4. Data and privacy

Your use of the App is also governed by our Privacy Policy. You retain ownership of your store and product data. You grant us a limited, non-exclusive license to process that data solely to provide the App's features, as described in the Privacy Policy.

5. Intellectual property

We retain all rights in the App, its software, and its underlying technology. You retain all rights in your own data and content.

6. Acceptable use

You agree not to misuse the App, including by attempting to disrupt or reverse-engineer the service, exceeding reasonable rate limits, or using it for unlawful purposes.

7. Disclaimers

The App is provided "as is." We do not guarantee that AI agents or assistants will discover, rank, recommend, or purchase your products, or any particular sales outcome — the behavior of third-party AI systems and marketplaces is outside our control. Agent-readiness scores and attribution figures are estimates provided for informational purposes.

8. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages, or for lost sales or profits. Our total liability for any claim is limited to the fees you paid for the App in the three (3) months preceding the claim.

9. Term and termination

These Terms apply while the App is installed. You may stop using the App at any time by uninstalling it. We may suspend or terminate access for breach of these Terms or as required by law or by Shopify.

10. Changes

We may update these Terms; material changes will be reflected by updating the "Last updated" date above. Continued use after changes constitutes acceptance.

11. Governing law

These Terms are governed by the laws of Georgia (the country), where Aurina AI LLC is registered, without regard to conflict-of-laws rules.
